2. Scope of Services

MadarAlelm Co. offers tailored solutions to advance academic and research excellence, including:

• Custom Journal Platforms: Design and development of scholarly journal websites.
• Peer Review Systems: Web-based editorial tools for manuscript submission, review, and publication.
• Publishing Services: Typesetting, XML conversion, copyediting, and plagiarism detection via iThenticate®.
• Digital Preservation: Migration of legacy content and integration with global databases (e.g., Crossref DOI).
• Training & Support: Workshops on publishing best practices and 24/7 technical assistance.
• Analytics & Reporting: Performance metrics for journals and institutional repositories.

3. Account Responsibilities

You are responsible for:

• Maintaining accurate account information.
• Safeguarding login credentials.
• All activities conducted under your account.

We reserve the right to suspend or terminate accounts with incomplete, outdated, or fraudulent information.

4. Acceptable Use

You agree not to:

• Upload malicious software or disrupt Service integrity.
• Reverse-engineer, decompile, or modify our platform.
• Overload servers/networks or test system vulnerabilities.
• Reproduce, redistribute, or exploit MadarAlelm Co. intellectual property.
• Engage in unlawful activities, spam, or unauthorized data access.

We may remove violating content and reserve the right to pursue legal action.

5. Intellectual Property

6. Fees & Payment

Subscription Plans:

• Annual Fee: Covers core Services (billed yearly).
• Add-Ons: Crossref membership, iThenticate®, and premium support (billed separately).

Payment Terms:

• Due Date: Fees are payable by the specified date each year.
• Taxes: Excluded from fees; your responsibility.
• Late Payments: 2% monthly interest (24% annually) on overdue amounts.

Refunds: No refunds for canceled subscriptions. Retrieve data prior to termination.

7. Indemnification & Liability

• Mutual Indemnification: Both parties agree to defend against losses from willful misconduct or negligence.
• Limitation of Liability: MadarAlelm Co. is not liable for indirect, incidental, or consequential damages. Total liability is capped at fees paid in the prior 12 months.

8. Third-Party Services

We are not responsible for third-party websites linked to our platform. Use external content at your own risk.

9. Governing Law & Disputes

This agreement is governed by the Iraqi law. Disputes will first seek amicable resolution, failing which they will be settled in Iraqi courts.

10. Termination

• Notice: Either party may terminate with 15 business days’ written notice.
• Breach: Immediate termination for material breaches (30-day cure period).
• Non-Payment: Three payment failures within 12 months permit termination.

Post-Termination:

• Cease Service use immediately.
• Settle outstanding fees.
• Retrieve data within 30 days.

11. Export Compliance

Comply with Iraqi and international export laws. Do not use Services for restricted activities.

12. Updates to Terms

We may revise these Terms. Continued use after updates constitutes acceptance. Review changes regularly.
